Jonathan Neumann advises U.S.-listed companies, including issuers listed solely in the United States and dual-listed companies in the United States and the Tel Aviv Stock Exchange, on capital markets, securities regulation, and corporate law.
He counsels public companies in equity and debt offerings, as well as on their day-to-day corporate and securities matters, and has extensive experience navigating complex corporate governance issues in both Israel and the United States, including executive compensation and compensation policies for officeholders, related-party transactions, and regulatory engagements with the Israel Securities Authority and the U.S. Securities and Exchange Commission.
Jonathan represents clients in shareholder activism matters, acting for both activist shareholders and companies in the preparation for and defense against activist campaigns. His experience includes hostile takeovers, tender offers, contested director elections, and contested M&A transactions.
In addition, Jonathan advises a broad range of start-ups and established corporations on international and domestic financing transactions, mergers and acquisitions, and ongoing corporate and commercial matters across all stages of their business lifecycle.
