Adv. Eyal Oren, Gil Rosenberg, Roey Gutman, Eldar Pdezur, and Avi Jini represented S.Q. Link Ltd. in a share purchase agreement, whereby Link acquired control in KTI Group – the controlling shareholder of AgileSparks Ltd., an Israeli company that primarily provides Agile consultancy and Atlassian tool implementation services in Israel.
The transaction included agreements with minority shareholders and was structured as a combination of share acquisition and earn-out mechanisms. Some minority shareholders in AgileSparks will sell their shares to KTI Group, thereby completing the acquisition by S.Q. Link. The consideration included a known cash portion, as well as a future and performance-based component, reflecting the parties’ expectations for the company’s continued success.
