Represented Delek Israel, Keystone Infrastructure and Leumi Partners in Financing the Acquisition of HOT Mobile

Nilly Alshech Raviv, Sivan Moran and Beeri Golan represented Delek Israel, Keystone and Leumi Partners in connection with the financing of the acquisition of HOT Mobile Ltd. from HOT Group, owned by Patrick Drahi.
 
The acquisition price was approximately NIS 1.22 billion, of which NIS 700 million were financed through bank debt, with the remaining amount funded by equity contributions.
 
The transaction involved a complex, “means of control” and non-recourse acquisition financing structure, with financing provided at the level of the acquired company itself, without recourse to the acquiring partnership or its owners.
 
HOT Mobile serves more than two million subscribers and holds a 50% stake in PHI, the corporation operating the shared cellular network of HOT Mobile and Partner Communications.
